Terms of Service

These terms form the agreement between you and Outsmartis (“we”, “us”) for the purchase and use of Conductore Lite (the “Software”). By purchasing, downloading, or using the Software you accept these terms.
Who you are buying from
Seller: Outsmartis, Portugal. Contact: [email protected]. All sales are made by Outsmartis; payments are processed by Stripe on our behalf.
What you receive
A single purchase of Conductore Lite entitles you to:
- A license key valid for up to 3 machine activations that you own or control
- Compiled application builds for Windows, macOS, and Linux
- The full source code of the Software, delivered as a downloadable archive and, optionally, as read-only access to the private source repository
- All future versions of the Software at no additional cost, for as long as we publish them
Delivery is digital and immediate: the license key is emailed to the address used at checkout, and the builds and source archive are available from your download page as soon as payment is confirmed.
License grant (source-available, proprietary)
Upon payment in full, Outsmartis grants you a perpetual, worldwide, non-exclusive, non-transferable, non-sublicensable license to:
- Install and use the Software on up to 3 machines that you own or control, for personal use or for the internal business purposes of you or your employer;
- Read, study, and analyse the source code without restriction — including decompiling, disassembling, and reverse-engineering the binaries;
- Modify the source code and build, run, and use your modified versions on the same machines, under the same terms as the unmodified Software;
- Keep private copies of the source code for backup, version control, and internal review.
Conductore Lite is not open source. It is proprietary software that we make source-available to paying customers. All copyright and other intellectual property rights in the Software, the source code, and any derivative works you create remain with Outsmartis, except for the rights expressly granted above and any rights you cannot be deprived of by law.
What you may not do
- Redistribute, publish, resell, sublicense, lease, or otherwise make available the Software, the source code, or any part or derivative of either to anyone outside your organisation — including on public or private code hosting, package registries, file sharing, or as part of another product
- Share, publish, or resell your license key, or use it on machines you do not own or control
- Offer the Software or a derivative of it to third parties as a hosted, managed, or commercial service
- Use the source code to build a product that you distribute or sell in competition with Conductore Lite
- Remove or alter copyright, license, or attribution notices in the source code or the application
- Circumvent or remove the license activation mechanism in copies you distribute (see above: you may not distribute at all)
Modifying the licensing code for your own use on your own licensed machines is permitted; distributing a modified build to anyone else is not.
Third-party components
The Software includes open-source components licensed by their respective authors. Those components remain governed by their own licenses, which take precedence over these terms for those components. A list of components and licenses is included with the source archive.
Updates and support
Your license covers all future versions at no additional cost. Updates are offered through the in-app updater (you are prompted before anything is downloaded or installed) and are also available from the download page. We provide support by email on a best-effort basis; no specific response time is guaranteed. We may change pricing for new customers at any time without affecting existing license holders, and we may discontinue publishing new versions — in which case the version you hold remains licensed to you perpetually.
Unsigned builds
The current builds are not code-signed or notarized. macOS Gatekeeper and Windows SmartScreen will warn on first launch, and you will need to follow the bypass steps documented on the download page. This is a known limitation, disclosed before purchase; it is not a defect. You may also build the Software yourself from the source code you receive.
Right of withdrawal (EU consumers) and refunds
If you are a consumer resident in the EU, you normally have 14 days to withdraw from a distance contract. Because the Software is digital content supplied immediately, the law lets you waive that right in exchange for immediate access: before your first download you must expressly request immediate performance and acknowledge that you lose your right of withdrawal once the download or source access begins (Directive 2011/83/EU art. 16(m); Portuguese DL 24/2014 art. 17(1)(i)).
Until you give that acknowledgement, your 14-day withdrawal right stands in full and we will refund you on request. After it, statutory withdrawal no longer applies, but we still offer a discretionary refund — see the Refund Policy for how that works and what happens to your license and source access afterwards.
Nothing here limits your statutory rights as a consumer, including rights in respect of digital content that is not as described or not fit for purpose.
Termination
This license terminates automatically if you materially breach these terms — in particular by redistributing the Software or its source code — or if you receive a refund of the purchase price. On termination you must stop using the Software, delete all copies of the source code and of any derivative works, and destroy or return anything derived from them. Sections on ownership, restrictions, disclaimers, and liability survive termination.
Disclaimer of warranties
Except for warranties that cannot be excluded by law, Conductore Lite is provided “as is” without warranty of any kind. Outsmartis does not warrant that the Software will be error-free, uninterrupted, or fit for any particular purpose, and does not warrant that any modified build you produce will work.
Limitation of liability
To the maximum extent permitted by law, Outsmartis shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of data, profits, or business, arising from your use of the Software. Our total aggregate liability is limited to the amount you paid for the license. Nothing in this section excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded — including a consumer’s mandatory statutory rights.
Changes to these terms
We may update these terms for future purchases. The version in force when you purchased continues to govern your license; we will not retroactively reduce rights you have already been granted.
Governing law
These terms are governed by the laws of Portugal, without regard to conflict of law principles. If you are a consumer, you also keep the protection of the mandatory rules of the country where you live, and you may bring proceedings in your local courts. EU consumers may use the European Commission’s online dispute resolution platform at ec.europa.eu/consumers/odr.
